1. Introduction and Scope
Audolia (“Platform”, “Biz”, “Bize” veya “Audolia”), yapay zeka teknolojisiyle desteklenen ses çözümleri sunan bir hizmet platformudur. İşbu Şartlar ve Koşullar (“Şartlar”), Audolia’nın sunduğu hizmetlerin (“Hizmetler”) kullanımı için taraflar arasında bağlayıcı bir hukuki anlaşmayı teşkil eder. İşbu Şartlar, Audolia AI Çözümleri (“Şirket”) ile ses dosyası hizmeti almak isteyen müşteri (“Müşteri” veya “Kullanıcı”) arasında akdedilmiştir. Hizmetlerimizi kullanarak veya Platform’a erişim sağlayarak, işbu Şartlar’ı okuduğunuzu, anladığınızı ve bunlara bağlı kalmayı kabul ettiğinizi beyan etmiş olursunuz. Şartlar’ı kabul etmiyorsanız, Platform’u kullanmaktan veya Hizmetler’den faydalanmaktan kaçınmanız gerekmektedir. Audolia, Şartlar’ı dilediği zaman, önceden bildirimde bulunmaksızın güncelleme veya değiştirme hakkını saklı tutar. Bu tür değişiklikler, Platform’da yayınlandığı anda yürürlüğe girer ve devam eden kullanımınız, güncellenmiş Şartlar’ı kabul ettiğiniz anlamına gelir.
2. Parties
These Terms are made between AudoliaAI Solutions (“Company”) and the natural or legal person who wants to benefit from the Services (“Customer” or “User”). The parties undertake to comply with the provisions of these Terms and to fulfill the rights and obligations arising from them.
3. Definition of Services and Scope of Use
3.1. Description of Services
The Company provides audio files (“Audio Files”) and related services generated using advanced artificial intelligence technology upon the Customer’s request. Audolia offers the following services to Users:
Voice-over of texts with their own voices or professional voices,
Improving the quality of sound recordings to studio quality with artificial intelligence technology,
Dubbing of videos,
Converting audio recordings to text,
3.2. Purpose of Use
The Services are designed for podcasts, commercials, training videos, games, presentations and similar projects. Audio Files are delivered to the Customer for use by the Customer for commercial or personal purposes. However, Audolia makes no warranty that the Services will be suitable for a particular purpose, uninterrupted or error-free. The use of the Services is at the User's own risk.
4. Usage Rights and Restrictions
4.1. Usage Rights
The Company grants the Customer the rights to use the Audio Files. The Customer has the right to use, sell, license or distribute the Audio Files for commercial purposes, but these rights are subject to the provisions of these Terms.
4.2. Usage Restrictions
Customer may use Audio Files only for legal and ethical purposes.
Customer may not use Audio Files for the following purposes:
Child sexual exploitation or any illegal content production,
Copyright infringement or violation of intellectual property rights,
Any illegal activity or criminal acts,
Creating hate speech, violent content, sexually explicit material, or content that may harm Audolia's reputation.
The Customer may not take any action that could harm the Platform's infrastructure, disrupt the operation of the Services, or negatively impact the experience of other users (e.g., access source code, overload capacity, spread malware).
4.3. Legal Liability
The Customer assumes all legal and criminal liability arising from the use of the Audio Files and the Platform. In case such a violation is detected, Audolia reserves the right to suspend or terminate the User's account without notice.
5. User Obligations and Responsibilities
5.1. Content Responsibility
The User guarantees that all texts, audio files, videos and other materials (“Content”) uploaded to the Platform are legal, ethical and do not infringe the rights of third parties. In the event that the Content violates copyright, patent, trademark or other intellectual property rights, the User assumes all legal and material liability arising from such violation. Audolia assumes no responsibility for the Content uploaded by the User and does not have any control over the accuracy, legality or appropriateness of such Content.
5.2. Account Security
The user is responsible for the security of his/her account and all activities performed on his/her account. Audolia cannot be held responsible for any damages that may arise if the account information is shared with third parties or unauthorized access is allowed. The user undertakes to immediately notify Audolia if he/she notices any suspicious activity on his/her account.
6. Intellectual Property Rights
6.1. Rights to Sound Files
The intellectual property rights of the Audio Files belong to the Customer from the moment they are delivered. The Customer continues to own all rights to the Content uploaded to the Platform.
6.2. Company's Rights
The Company reserves all rights to the artificial intelligence technology, software, algorithms, designs, logos, trademarks and other intellectual property elements used in the production of the Audio Files (“Audolia Content”). Audolia Content is protected by international copyright, trademark and other intellectual property laws. The User has no right to copy, modify, distribute, reverse engineer or commercially exploit the Audolia Content. Audolia grants the User a limited, revocable, non-transferable license to use the Services only.
6.3. User License
By uploading Content to the Platform, the User grants Audolia a worldwide, royalty-free, transferable and perpetual license to use, store, reproduce, modify and distribute the Content for the purpose of providing, improving and promoting the Services. Audolia will use this license solely to provide the functionality of the Services and fulfill the operational requirements of the Platform.
6.4 Third Party Rights
The User guarantees that the Content he uploads does not infringe the intellectual property rights of third parties.
These Terms protect the third party beneficiary rights of the Company’s technology providers (“Technology Providers”). Technology Providers may assert their rights arising from these Terms directly against the Customer.
7. Privacy and Data Protection
The parties undertake to keep all information obtained under these Terms confidential and not to share it with third parties. Audolia attaches great importance to the confidentiality of User data. For detailed information on how your personal data is collected, used and protected, please review our Privacy Policy. By using the Platform, the User agrees to the processing of their personal data in accordance with the Privacy Policy. Audolia takes industry standard measures to ensure the security of data, but cannot be held responsible for any losses that may occur due to circumstances beyond our control, such as a data breach or cyber attack.
8. Disclaimer and Limitation of Liability
8.1. Disclaimer of Warranty
The Services and Audio Files are provided “as is” and “as available.” Audolia makes no warranty that the Services will be uninterrupted, error-free or fit for any particular purpose. The results of the Services are based on artificial intelligence technology and may vary depending on the quality and accuracy of the Content provided by the User.
8.2. Limit of Liability
The Company shall not be liable for any direct, indirect, incidental, special or punitive damages arising from the use of the Sound Files.
Audolia's total liability to User is limited to the fees paid by User for the Services. This limitation applies even in cases of negligence or intentional conduct by Audolia. Some jurisdictions may not allow limitations on liability for consequential damages, in which case the above limitations may not apply.
9. Compensation
Müşteri, Ses Dosyaları’nın veya Platform’un kullanımından kaynaklanan herhangi bir üçüncü taraf talebi, dava veya zarara karşı Şirket’i tazmin etmeyi ve Şirket’i savunmayı kabul eder. Bu tazminat, avukatlık ücretleri dahil tüm masrafları kapsar.
10. Termination of the Contract
Either party may terminate these Terms if the other party breaches these Terms after 14 days of written notice of the breach.
Audolia reserves the right to suspend or terminate your account without prior notice if you fail to comply with the Terms. In the event of termination of your account, you will lose your right to access the Services and Audolia has the right to delete your Content stored on the Platform.
The User may close his/her account at any time; however, in this case, Audolia's license to the Content will not expire.
Termination does not affect the rights and obligations of the parties.
11. Third Party Links and Services
The Platform may contain links to third-party websites or services. Audolia is not responsible for the content, privacy policies or practices of these third parties. Use of third-party services is subject to the terms of the relevant third party and the User acts at his/her own risk when using such links or services.
12. Force Majeure
Audolia shall not be liable for any delay or failure in providing the Services due to acts of God, war, acts of terrorism, government regulations, power outages, internet failures or other unforeseen events (“Force Majeure”). In the event of Force Majeure, Audolia’s obligations are suspended and shall not be considered a breach of the Terms.
13. Applicable Law and Dispute Resolution
These Terms are subject to and will be interpreted in accordance with the laws of the Republic of Türkiye.
The parties undertake to first attempt to resolve disputes through good faith negotiation; however, if this method fails, litigation may be initiated.
14. General Provisions
14.1. Separability
Şartlar’ın herhangi bir hükmünün geçersiz, yasa dışı veya uygulanamaz olduğu tespit edilirse, bu durum diğer hükümlerin geçerliliğini ve uygulanabilirliğini etkilemez. Geçersiz hükmün yerine, Şartlar’ın amacına en uygun yasal bir hüküm getirilecektir.
14.2 Waiver and Amendment
Audolia’s failure to enforce any provision of the Terms will not be deemed a waiver of such provision. A waiver is effective only if in writing and expressly stated by Audolia. The parties must agree in writing to modify any provision of these Terms.
14.3. Entire Agreement
These Terms constitute the entire agreement between the User and Audolia and supersede all prior written or oral agreements. Any agreement made outside of the Terms will be valid only if in writing and signed by both parties.
15. Communication and Support
For questions about the Terms or the Services, please contact us at [destek@audolia.com]. You can also use our live support service through the Platform. Audolia reserves the right to evaluate User feedback, but has no obligation to respond to such feedback.
16. Kabul
The User declares that he/she has read, understood and accepted these Terms. The use of the Services is considered as evidence of this acceptance.
